Terms of Use

1. Introduction

These Terms of Use (“Terms”), together with the Privacy Policy and any other documents incorporated by reference (collectively, the “Agreement”), constitute a binding agreement between you (“you,” “your,” or “User”) and Click Labs Ltd., a company incorporated in the British Virgin Islands (“Click Labs,” “Company,” “we,” “us,” or “our”).

This Agreement governs your access to and use of:

• Our bot on Telegram (the “Bot”)
• Our website located at https://click.trade/ (the “Website”)
• Our Chrome browser extension (the “Extension”)
• Any other related applications, interfaces, technologies, products, or services that link to or reference these Terms (together, the “Services”)

By accessing, downloading, installing, or using any portion of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility and Restricted Persons

2.1 Eligibility
You may use the Services only if you:

• Are at least eighteen (18) years of age, or of legal age to enter into binding contracts under the laws of your jurisdiction
• Possess the legal and mental capacity to accept and comply with these Terms
• Are not a “Restricted Person” (as defined below)

2.2 Restricted Jurisdictions
The Services are not directed to, and may not be accessed or used by, persons or entities that are:

• Residents, citizens, or located in the United States of America, or
• Residents, citizens, or located in jurisdictions that are the subject of embargoes, trade restrictions, or sanctions imposed by the United Nations, the European Union, the United Kingdom, or any other competent governmental authority, or
• Jurisdictions where cryptocurrency usage is prohibited or restricted by law, regulation, or governmental policy (collectively, “Restricted Jurisdictions”)

2.3 Restricted Persons
Restricted Persons include:

• Any individual or entity located in, incorporated in, or organized under the laws of a Restricted Jurisdiction
• Any individual or entity appearing on sanctions lists maintained by the United Nations, the United States, the United Kingdom, or the European Union
• Any individual acting on behalf of a Restricted Person

3. Access and Account Security

3.1 Your Responsibility
You are solely responsible for:

• Maintaining all hardware, software, and internet access necessary to use the Services
• Ensuring all persons who access the Services through your devices or accounts are aware of and comply with these Terms
• Safeguarding your private keys, recovery phrases, and other credentials

3.2 Transmission of Keys
When using the Bot, Website, or Extension to generate a trading wallet (the “Trading Wallet”), private keys will be displayed to you. These keys are transmitted unencrypted and you assume all risks associated with transmission and storage.

3.3 Loss of Keys
If your keys, seed phrases, or other access credentials are lost, stolen, disclosed, or compromised, Click Labs bears no responsibility, and you may lose access to your digital assets permanently.

4. Use of the Services

4.1 Nature of Services
The Services act solely as a technical conduit enabling you to interact with third-party technologies such as decentralized exchanges (“DEXs”), liquidity protocols, and smart contracts. Click Labs does not itself provide exchange, custody, settlement, clearing, or brokerage services.

4.2 Transactions
All swaps, trades, or other transactions occur on third-party infrastructure outside our control. By using the Services, you acknowledge and agree that:

• We are not a counterparty to your transactions
• We do not guarantee the execution, outcome, or settlement of any transaction
• You bear sole responsibility for verifying transaction details, including prices and gas fees

5. Prohibited Uses

You may not use the Services:

• For unlawful purposes, including money laundering or terrorist financing
• To exploit or harm minors
• To distribute malware or malicious code
• To manipulate markets, including wash trading, spoofing, or pump-and-dump schemes
• To interfere with or disrupt networks, protocols, or the Services themselves
• To impersonate Click Labs or any third party
• From within a Restricted Jurisdiction

6. Risks

You acknowledge that use of the Services involves significant risks, including but not limited to:

• High volatility of digital assets
• Security vulnerabilities, hacks, or malicious attacks
• Bugs, malfunctions, or failures in smart contracts, wallets, or protocols
• Regulatory changes or prohibitions
• Permanent loss of private keys or seed phrases

You assume full responsibility for all risks.

7. Disclaimer of Warranties

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. We disclaim all warranties, including merchantability, fitness for purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted under applicable law:

• Click Labs and its affiliates shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or data, even if foreseeable
• In no event shall our total aggregate liability exceed USD $800

9. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the British Virgin Islands, without regard to conflict of law principles.

Subject to the arbitration clause below, you agree that disputes shall be resolved exclusively by the courts of the British Virgin Islands.
